Become a Wholesaler Terms & Conditions

1. Overview

By applying for or participating in the MaxLiving Wholesaler Program (“Program”), you agree to be bound by these Terms & Conditions. These Terms govern your ability to purchase MaxLiving products at wholesale pricing for resale.

2. Eligibility & Approval

Applicants must be a legally registered business entity. All purchases are for resale only (not personal use).

Providing a valid business license is required for approval. A resale certificate or tax exemption form may be submitted, but is not required.

All applications are subject to review and approval by MaxLiving in its sole discretion. MaxLiving may approve or deny any application for any reason.

3. Wholesale Relationship

Participation in the Program establishes a buyer-supplier relationship only. It does not create any partnership, agency, or franchise relationship. Wholesalers operate as independent businesses and are solely responsible for resale operations and customer relationships.

4. Pricing & Orders

Wholesale pricing is provided upon approval and may be changed at any time without notice.

All orders are subject to acceptance, availability, and fulfillment approval by MaxLiving.

MaxLiving reserves the right to limit or cancel orders at its sole discretion.

5. Payment Terms

All orders must be paid in full at the time of purchase unless otherwise agreed in writing.

MaxLiving reserves the right to refuse or cancel any order due to payment issues or risk concerns.

6. Resale Guidelines

You agree to sell MaxLiving products only in accordance with approved resale practices.

You agree to:

Sell products only through channels disclosed and approved in your application.

Represent MaxLiving products accurately and consistently with brand guidelines.

Comply with all applicable email and SMS marketing laws, including the CAN-SPAM Act.

You may not:

Resell MaxLiving products on unauthorized third-party marketplaces, including Amazon or Walmart, without prior written approval.

Alter, repackage, relabel, or modify products in any way.

Make false or misleading claims regarding products or their benefits.

7. Brand & Intellectual Property

All MaxLiving trademarks, branding, and intellectual property remain the exclusive property of MaxLiving. Wholesalers are granted no ownership rights and may only use brand assets with prior written approval. Any permitted use must comply with MaxLiving brand standards.

8. Compliance

You are solely responsible for complying with all applicable laws, regulations, tax obligations, and business licensing requirements. You agree to maintain valid resale certification and provide documentation upon request.

9. Returns & Refunds

All returns and refunds are subject to MaxLiving’s return policy in effect at the time of purchase. Unauthorized returns may be refused.

10. Termination

MaxLiving reserves the right to suspend or terminate your wholesaler account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, wholesale access and pricing privileges will be revoked immediately.

11. Modifications

MaxLiving may modify these Terms at any time in its sole discretion. Continued purchases after updates are posted constitute acceptance of the revised Terms.

12. Limitation of Liability

To the fullest extent permitted by law, MaxLiving shall not be liable for any indirect, incidental, consequential, or punitive damages arising from wholesale purchases, product resale, or business operations.
